1. Introduction

These Terms of Service (“Terms”) govern your use of the Blue Maestro website (www.bluemaestro.com), all Blue Maestro products, hardware, software (including the bmLogger application and BMCloud platform), services, and content (collectively, the “Services”), whether obtained through the Website, the bmLogger application, BMCloud, authorized resellers, distributors, or any other channel.

By accessing the Website, purchasing or using any Blue Maestro product or service, or downloading or using any Blue Maestro software, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.

These Terms apply unless otherwise agreed in writing and signed by an authorized representative of Blue Maestro. In the event of a conflict between these Terms and any separate written agreement executed by Blue Maestro, the written agreement shall prevail to the extent of the conflict.

2. Definitions

  • “Blue Maestro” refers to Blue Maestro, Inc. and/or its affiliates.
  • “Content” refers to all text, images, graphics, audio, video, data, software, and other materials available through the Services.
  • “Products” refers to all hardware devices, sensors, gateways, and accessories manufactured, sold, or distributed by Blue Maestro.
  • “Software” refers to the bmLogger application, BMCloud platform, and any other software, firmware, or applications provided by Blue Maestro.
  • “User Content” refers to any content submitted or transmitted by users through the Services.
  • “Website” refers to www.bluemaestro.com and any associated subdomains.

3. Eligibility

You must be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater, to use the Services or purchase Products. By using the Services, you represent and warrant that you meet these eligibility requirements.

4. Changes to Terms

Blue Maestro reserves the right to modify these Terms at any time. Changes will be posted on the Website with an updated revision date. Your continued use of the Services following any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

5. Account Registration

Certain features of the Services may require you to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

6. Scope of Terms — Products and Services

These Terms apply to all Blue Maestro Products and Services regardless of how or where they are obtained, including but not limited to:

  1. Products purchased directly through the Website;
  2. Products purchased through authorized resellers, distributors, or third-party retailers;
  3. Software downloaded from the Website, app stores, or any other source;
  4. Cloud services, data services, or any online services provided by Blue Maestro;
  5. Support, maintenance, or professional services provided by Blue Maestro.

Unless Blue Maestro has entered into a separate written agreement with you that expressly supersedes these Terms, these Terms constitute the complete and exclusive agreement governing your use of the Products and Services.

7. Intellectual Property Rights

All Content, Products, Software, and associated materials are the property of Blue Maestro and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Blue Maestro is a registered trademark.

No Content may be reproduced, distributed, modified, displayed, or used in any manner without the prior written consent of Blue Maestro.

8. Limited License

Blue Maestro grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and Software for personal or internal business purposes in accordance with these Terms. This license does not include the right to:

  1. modify, copy, or create derivative works of any Content, Products, or Software;
  2. reverse engineer, decompile, or disassemble any Software or Products;
  3. sublicense, sell, resell, transfer, or distribute any part of the Services;
  4. use the Services for any commercial purpose not authorized by Blue Maestro;
  5. remove or alter any proprietary notices or labels on the Products or Software.

9. Prohibited Uses

You agree not to:

  1. use the Services in violation of any applicable law or regulation;
  2. interfere with or disrupt the operation of the Services or any servers or networks connected to the Services;
  3. attempt to gain unauthorized access to any part of the Services or any systems or networks connected to the Services;
  4. use any automated means, including bots, scrapers, or spiders, to access or collect data from the Services without prior written permission;
  5. transmit any malware, viruses, or harmful code through the Services;
  6. impersonate any person or entity or misrepresent your affiliation with any person or entity;
  7. use Products or Software in any manner that exceeds their intended purpose or specifications.

10. User Content

By submitting User Content through the Services, you grant Blue Maestro a non-exclusive, royalty-free, perpetual, irrevocable, worldwide right to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with the Services. You represent that you have the right to grant this license and that your User Content does not violate any third-party rights.

11. Content Removal

Blue Maestro reserves the right, at its sole discretion, to remove, edit, or disable access to any User Content or other content available through the Services, without prior notice and for any reason.

12. Product Use and Data

  1. Blue Maestro Products are designed for monitoring, logging, and managing environmental sensor data. You acknowledge that sensor readings and data may be subject to environmental interference, hardware limitations, connectivity issues, and other factors beyond Blue Maestro's control.
  2. You are solely responsible for the data you collect, store, and transmit using the Products and Software. Blue Maestro does not guarantee the accuracy, reliability, completeness, or suitability of any data collected, displayed, or stored by the Products or Software.
  3. Any decisions or actions taken based on data or information obtained through the Products or Software are taken at your own risk.
  4. Blue Maestro recommends regularly exporting and backing up any critical data.

13. Third-Party Links

The Services may contain links to third-party websites or services. Blue Maestro is not responsible for the content, accuracy, or practices of any third-party sites and does not endorse any third-party products or services. Your use of third-party sites is at your own risk and subject to the terms of those sites.

14. Disclaimer of Warranties

THE SERVICES, PRODUCTS, SOFTWARE, AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, BLUE MAESTRO, INC., ITS AFFILIATES, SUBSIDIARIES, SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, LICENSORS, AND SUPPLIERS (COLLECTIVELY, “BLUE MAESTRO PARTIES”) EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  1. IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;
  2. WARRANTIES THAT THE SERVICES, PRODUCTS, OR SOFTWARE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
  3. WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
  4. WARRANTIES THAT DATA OR RESULTS OBTAINED THROUGH THE SERVICES, PRODUCTS, OR SOFTWARE WILL BE ACCURATE, RELIABLE, OR COMPLETE;
  5. WARRANTIES THAT ANY ERRORS IN THE SERVICES, PRODUCTS, OR SOFTWARE WILL BE CORRECTED.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM BLUE MAESTRO OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE BLUE MAESTRO PARTIES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  1. YOUR USE OF OR INABILITY TO USE THE SERVICES, PRODUCTS, OR SOFTWARE;
  2. ANY INACCURACY, ERROR, OR OMISSION IN SENSOR DATA, READINGS, OR INFORMATION PROVIDED BY THE PRODUCTS OR SOFTWARE;
  3. ANY DECISIONS OR ACTIONS TAKEN BASED ON DATA OR INFORMATION OBTAINED THROUGH THE SERVICES, PRODUCTS, OR SOFTWARE;
  4. ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS;
  5. ANY INTERRUPTION, SUSPENSION, OR TERMINATION OF THE SERVICES;
  6. ANY BUGS, VIRUSES, OR OTHER HARMFUL COMPONENTS TRANSMITTED THROUGH THE SERVICES;
  7. ANY LOSS, DAMAGE, OR INJURY TO PERSONS OR PROPERTY ARISING FROM RELIANCE ON THE SERVICES, PRODUCTS, SOFTWARE, OR THEIR DATA;
  8. ANY MATTER RELATING TO THE SERVICES, PRODUCTS, OR SOFTWARE.

IN NO EVENT SHALL BLUE MAESTRO'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNT YOU PAID TO BLUE MAESTRO IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

THIS LIMITATION OF LIABILITY APPLIES REGARDLESS OF THE LEGAL THEORY UPON WHICH THE CLAIM IS BASED, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF THE BLUE MAESTRO PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

16. Indemnification

To the extent not prohibited by law, you agree to defend, indemnify, and hold harmless the Blue Maestro Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  1. your use of the Services, Products, or Software;
  2. your violation of these Terms;
  3. your violation of any rights of a third party;
  4. any User Content you submit through the Services.

17. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy at www.bluemaestro.com/privacy-policy.

18. Termination

Blue Maestro may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to conflict of law principles.

20. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the State of Texas. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Notwithstanding the foregoing, Blue Maestro may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

21. Waiver and Severability

The failure of Blue Maestro to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

22. Entire Agreement

These Terms, together with the Privacy Policy and any other policies posted on the Website, constitute the entire agreement between you and Blue Maestro regarding the Services, and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and Blue Maestro. These Terms do not supersede any separate written agreement executed by an authorized representative of Blue Maestro.
